Terms and conditions

These terms and conditions apply to every quotation, order and delivery by Setfy, a business-to-business reseller of Closca and Stelton drinkware and helmets, established in Haarlem, the Netherlands.
1. Who we are
Setfy, established in Haarlem, the Netherlands, registered with the Dutch Chamber of Commerce (KvK) under number 99869756. Contact: info@setfy.nl, +31 6 13428122.
Setfy sells products manufactured by Closca (bottles and folding helmets) and Stelton (To Go Click, To Go Sip, Keep Cool) to business customers.
2. Scope
These terms apply to all quotations, order confirmations, deliveries and agreements between Setfy and a customer acting in the course of a business or profession. Setfy does not sell to consumers, so statutory consumer rights such as the 14-day right of withdrawal do not apply.
The customer's own purchasing conditions are expressly rejected unless Setfy has accepted them in writing. Deviations from these terms are only valid when confirmed by Setfy in writing.
3. Quotations and orders
Quotations are free of charge and without obligation and remain valid for 30 days unless stated otherwise. Product images, prices and specifications on this website are indicative and do not constitute a binding offer.
An agreement is concluded once Setfy confirms the order in writing, or once Setfy starts performing the order. Personalised or decorated goods are produced only after the customer has approved the artwork proof in writing; after that approval the order cannot be cancelled or amended.
4. Prices and payment
Prices are in euros, exclusive of VAT, and exclusive of shipping, decoration set-up and any import charges unless the quotation states otherwise. Any retail prices shown on this website are indicative recommended retail prices of the manufacturer.
Unless agreed otherwise, invoices are payable within 14 days of the invoice date. For first orders and for personalised goods Setfy may require full or partial prepayment.
If payment is late, the customer owes the statutory commercial interest under article 6:119a of the Dutch Civil Code plus reasonable collection costs, without a notice of default being required. Setfy may suspend further deliveries while an invoice is overdue.
5. Delivery and risk
Delivery times are estimates based on manufacturer stock and production lead times and are never strict deadlines. Setfy informs the customer as soon as a delay is known; a delay does not entitle the customer to cancel the order or to compensation unless Setfy has confirmed a fixed date in writing.
Risk of loss or damage passes to the customer on delivery at the agreed address. Title to the goods remains with Setfy until all invoices relating to the order, including interest and costs, have been paid in full.
For production and decoration runs, an over- or under-delivery of up to 5% of the ordered quantity is customary and accepted; invoicing follows the quantity actually delivered.
6. Inspection and complaints
The customer inspects the goods on delivery. Visible damage, shortages or transport damage must be reported to Setfy in writing within 5 working days of delivery; other defects within 14 days of discovery and in any case within the warranty period.
Goods may only be returned after Setfy's written agreement and in their original packaging. Personalised, decorated or specially ordered goods cannot be returned unless they are defective.
7. Warranty
The manufacturer's warranty applies: Setfy passes on the warranty granted by Closca and Stelton for material and manufacturing defects. Setfy handles the warranty claim with the manufacturer on the customer's behalf.
Warranty does not cover normal wear, discolouration, damage from dropping or misuse, dishwasher or microwave use contrary to the product instructions, damage to a helmet after an impact, or defects in decoration caused by artwork supplied by the customer. A helmet involved in a crash must be replaced and is not covered.
If a claim is accepted, Setfy will at its choice repair the product, deliver a replacement or credit the invoice value.
8. Logos and intellectual property
The customer guarantees that it holds all rights to the logos, artwork and texts it supplies for decoration, and indemnifies Setfy against third-party claims relating to that material.
All intellectual property rights in the products, brands and product images of Closca and Stelton remain with the respective rights holders. The customer receives no right to use those brands beyond the resale or distribution of the goods purchased.
9. Liability
Setfy's liability is limited to the invoice value of the part of the order to which the liability relates, and in any event to the amount paid out by its insurer in the relevant case.
Setfy is not liable for indirect damage, including lost profit, lost turnover, reputational damage or costs of a missed campaign or event.
These limitations do not apply in the event of intent or deliberate recklessness on the part of Setfy.
10. Force majeure
Setfy is not obliged to perform if prevented by circumstances beyond its control, including manufacturer production stoppages, raw material shortages, transport disruptions, strikes, fire and government measures. If force majeure lasts longer than 60 days, either party may terminate the agreement in writing without any obligation to pay compensation.
11. Privacy
Setfy processes the contact details submitted through this website only to answer the request and to carry out the agreement. Details are set out in the privacy statement.
12. Applicable law and disputes
Dutch law applies to all agreements between Setfy and the customer. The applicability of the Vienna Sales Convention (CISG) is excluded.
Disputes will be submitted to the competent court of the Noord-Holland district, unless mandatory law designates another court.
